Plain-language summary: These are the basic rules for using our website. They are not the contract that governs an engagement — that contract is a separately negotiated MSA and SOW. If you're a client, the MSA controls. If you're a website visitor, these terms apply.
1. Acceptance of Terms
By accessing or using the Apison Hooks website ("Site") or any services we provide ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, do not access the Site or use the Services.
2. Services
Apison Hooks Inc. ("Apison Hooks", "we", "us", or "our") provides agentic AI design, automation, integration, and managed operations services to enterprise clients. The specific scope of any engagement is governed by a separate written master services agreement ("MSA") and statement of work ("SOW") executed by both parties. These Terms apply to your use of our Site and any introductory communications and do not modify the terms of an executed MSA or SOW, which control in the event of any conflict.
3. Intellectual Property
All content on the Site — including text, graphics, logos, photographs, and software — is the property of Apison Hooks or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, modify, distribute, or create derivative works from any Site content without our prior written consent, except for personal, non-commercial review.
4. Confidentiality
Information you share with us through the Site (including via discovery calls, RFP responses, or partnership inquiries) will be treated as confidential and used only for the purposes for which it was provided. We will not disclose such information to third parties except as required by law or as necessary to evaluate a potential engagement.
5. Acceptable Use
You agree not to (a) attempt to interfere with the proper operation of the Site, (b) probe, scan, or test the vulnerability of the Site or any related systems without our written authorization, (c) use the Site to transmit any unlawful, harassing, or fraudulent content, or (d) use any automated means to access the Site in a manner that places undue load on our infrastructure.
6. Disclaimers
THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL APISON HOOKS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM YOUR USE OF THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).
8. Indemnification
You agree to indemnify and hold harmless Apison Hooks and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your breach of these Terms or your misuse of the Site.
9. Modifications
We may revise these Terms at any time by posting an updated version on the Site. Changes are effective immediately upon posting. Your continued use of the Site following any change constitutes acceptance of the revised Terms. We will use reasonable efforts to notify enterprise clients with active engagements in advance of material changes.
10. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising under these Terms shall be brought exclusively in the state or federal courts located in Wilmington, Delaware, and you consent to the jurisdiction and venue of such courts.
